Terms & Conditions of Participation

1. Overview

By registering for and participating in the Emerge and See Workshop (the “Workshop”) operated by Scaling Business Architects, LLC (“SBA,” “we,” “our”), you (“Participant,” “you,” “your”) agree to the following terms and conditions. Your registration and payment constitute acceptance of these terms.

2. Confidentiality of Participant Information

2.1 — SBA’s Obligations

All information you share during the Workshop — including but not limited to financial data, business metrics, assessment responses, operational details, and any information disclosed during group discussion, hot seat sessions, or chat — will be treated as confidential by SBA.

SBA will not disclose, share, sell, or distribute your individual information to any third party without your explicit written consent, except as required by law.

If you were referred to the Workshop by a financial services professional, SBA may confirm your attendance and general participation status (e.g., “attended” or “completed assessment”) to the referring partner. SBA will not share your assessment results, financial data, or any specifics of your business situation with the referring partner without your separate written consent.

2.2 — Participant Obligations

You agree to treat all information shared by other Participants during the Workshop as confidential. This includes but is not limited to: business names, financial figures, operational details, assessment-related discussion, and any information volunteered during hot seat sessions, group discussion, or chat.

You agree not to disclose, reproduce, or distribute any other Participant’s information outside the Workshop session, in any format, for any purpose.

Violation of this confidentiality obligation may result in removal from the session without refund and may give rise to legal claims by the affected Participant(s).

3. No Recording Policy

The Workshop session may not be recorded, captured, or reproduced in any form by any Participant. This includes but is not limited to:

— Screen recording or screen capture (video or still image)

— Audio recording

— Photography of the screen, slides, or shared content

— Transcription by automated tools, AI services, or manual means

— Re-broadcasting or streaming to any audience not registered for the session

 

SBA may record the session for internal quality assurance and training purposes. Any such recording will not be distributed to Participants or third parties without prior notice and consent. If SBA records the session, Participants will be notified at the start of the Workshop.

Hot seat segments and any segment containing Participant-specific business information will be excluded from any recording SBA may use for promotional or educational purposes, unless the Participant featured provides separate written consent.

4. Intellectual Property

All Workshop content — including but not limited to slides, scripts, assessment instruments, frameworks, methodologies, and presentation materials — is the proprietary intellectual property of Scaling Business Architects, LLC. The S.C.O.R.E. methodology and Defensive Ascent program are proprietary.

Participants may not reproduce, distribute, modify, or create derivative works from any Workshop content without prior written permission from SBA.

Participants retain ownership of their own business data and assessment responses.

5. Scope of Professional Advice

The Workshop provides professional diagnostic and business advisory services. The observations, pattern reads, and diagnostic commentary provided during the Workshop — including during hot seat sessions — constitute professional business advice based on the information you provide.

Important limitation: All diagnostic analysis provided during the Workshop is based on your self-reported responses, not on verified financial records, audited statements, or independently confirmed data. The accuracy and applicability of any diagnostic observations are only as reliable as the accuracy of the information you provide. SBA does not independently verify Participant-provided information during the Workshop.

SBA does not provide legal, tax, accounting, investment, or financial advice. Where diagnostic findings touch on matters within those disciplines, Participants are advised to consult with their qualified legal, tax, or financial professional before acting. SBA is not a law firm, accounting firm, or licensed financial advisory practice, and nothing in the Workshop should be interpreted as a substitute for advice from those professionals.

6. Payment and Refund Policy

The Workshop registration fee is $200 USD, payable at the time of registration.

If you enroll in Defensive Ascent within [30] days of Workshop attendance, your $200 Workshop fee will be credited toward your Defensive Ascent enrollment.

Cancellations received more than 48 hours before the scheduled Workshop will receive a full refund. Cancellations received within 48 hours of the Workshop are non-refundable but may be transferred to a future Workshop date, subject to availability. No-shows are non-refundable. Approved refunds will be processed within 5–10 business days. Processing time may vary depending on your financial institution.

7. Participant Conduct

You agree to participate respectfully and professionally. SBA reserves the right to remove any Participant who engages in disruptive, disrespectful, or harmful behavior during the session. Removal for conduct will be without refund.

8. Limitation of Liability

SBA’s total liability to any Participant arising from or related to the Workshop shall not exceed the Workshop registration fee paid by that Participant.

SBA shall not be liable for any indirect, incidental, consequential, or punitive damages arising from Workshop participation, including but not limited to business decisions made based on information presented during the session.

9. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict of law principles. Any disputes arising from these terms or Workshop participation shall be resolved first through good-faith mediation, and if mediation is unsuccessful, through litigation in the courts of North Carolina.

10. Consent and Acknowledgment

By completing registration and payment for the Emerge and See Workshop, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
